1. Acceptance of Terms
1.1 These Terms of Service ("Terms") form a legally binding agreement between you ("you", "User") and Lomote ("we", "us", "Lomote") regarding your use of the Service. 1.2 By registering an account or accessing or using any feature of the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and the Privacy Policy incorporated herein. If you do not agree, do not use the Service. 1.3 If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization.
2. Eligibility and Accounts
2.1 Age. You must be of the age of legal capacity to enter into contracts in your jurisdiction (generally 18). Minors may use the Service only with the consent and supervision of a guardian. 2.2 Registration. You may sign up via email + password, email magic link, or third-party accounts (Google, GitHub, Apple). You must provide true, accurate and complete information and keep it updated. 2.3 Account security. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use. 2.4 Workspaces. The Service organizes resources by workspace. Credits, subscriptions and generated content belong to the relevant workspace. Personal workspaces are managed by you; team/organization workspaces are managed by their administrators, who may manage members and view workspace data and usage.
3. The Service
3.1 The Service lets you generate images, videos, 3D models and related content from text prompts and uploaded reference material, and provides editing/enhancement, an asset library, and a public discovery feed ("Explore"). 3.2 Third-party models and processors. Generation is powered in whole or in part by third-party model/compute providers. When you start a generation, your prompts, uploaded material and necessary parameters are transmitted to the relevant provider for processing. Each provider may have its own terms and policies. 3.3 We may add, modify, suspend or discontinue any model, feature or part of the Service at any time, including changes caused by third-party providers, without individual notice.
4. Credits, Subscriptions and Payment
4.1 Credits. Generation and other resource-consuming actions are charged in credits. Credits are granted periodically through subscriptions or purchased as one-time credit packs. The credit price of each model/action is as displayed at checkout. 4.2 Subscriptions. Subscriptions come in tiers and monthly/annual billing, and renew automatically until cancelled. Cancellation takes effect at the end of the current billing period. 4.3 Payment. Payments are processed by a third-party processor (Stripe). Prices, taxes and billing rules are as shown at checkout and recorded by the processor. We do not store your full card details. 4.4 Refunds. Except as required by applicable law or as otherwise stated by us in writing, purchased/granted credits and completed subscription periods are generally non-refundable. Promotional, gifted or signup-bonus credits may carry expiry and usage limits. 4.5 Expiry. Some credits (e.g. credit packs, bonus credits) have an expiry; unused credits expire. 4.6 Price changes. We may change prices and billing rules; changes apply to your renewals/new orders and do not affect an already-active current period.
5. User Content and Licenses
5.1 Your input. You are responsible for the prompts and material you submit ("Input"). You represent that you hold the necessary rights to your Input and that its use does not infringe any third-party rights or violate any law. 5.2 Output. Subject to these Terms, applicable law and the terms of the model providers, you may use content generated for you ("Output") for personal or commercial purposes. Note: the copyrightability, ownership and commercial scope of AI-generated content may be uncertain across jurisdictions and may be subject to provider terms; you assess and bear the related risk. 5.3 License to us. To provide, maintain and improve the Service (including storage, transmission to third-party providers for processing, generation, display, troubleshooting, security and compliance review), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, store and transmit your Input and Output. 5.4 Public publishing & discovery. When you publish content to the public discovery feed ("Explore") or otherwise make it public, you understand and agree that such content will be publicly displayed to other users and visitors and may be used for the platform's retrieval/similarity search (including generating visual vectors and other technical indexes). You may withdraw public content within the features provided; after withdrawal we will stop public display within a reasonable time, but cached copies, copies saved by others, or content already indexed by search engines may not be removed immediately. 5.5 We do not claim ownership of user-generated or published content (other than the licenses described herein).
6. Acceptable Use
You agree not to use the Service to engage in, or to generate, upload, publish or distribute, any of the following:
- Content that violates any applicable law or infringes the intellectual property, likeness, privacy, reputation or other lawful rights of others;
- Any sexualization of minors or child sexual abuse material (CSAM) — strictly prohibited and reported as required by law;
- Deepfakes, impersonation or defamatory content depicting real persons without their consent that may mislead or harm;
- Violent, terrorist, hateful, discriminatory, harassing, bullying or unlawful-incitement content;
- Fraud, spam, malware, phishing or other activity harmful to networks and others' security;
- Circumventing, attacking or reverse-engineering the platform's technical measures, limits, billing or moderation;
- Unauthorized automated bulk scraping, stress testing, or imposing undue load on the Service;
- Reselling, sublicensing the Service, or using it to train models that compete with the Service (without our written consent).
We may moderate content and may, without prior notice, remove violating content, restrict features, suspend or terminate accounts, and report to authorities.
7. Intellectual Property
7.1 All intellectual property in the Service and its software, interfaces, trademarks, logos and documentation (excluding User Content) belongs to us or the respective rights holders. Except as expressly granted, you receive no other rights. 7.2 You may not copy, modify, distribute, sell or rent any part of the Service, or decompile, disassemble or reverse-engineer it, without our prior written permission.
8. Third-Party Services
The Service integrates or relies on third-party services (including, without limitation, AI model/compute providers, payment processors, cloud storage and CDN, email delivery, and identity/login providers). These are governed by their own terms, and we are not responsible for their availability, content or conduct.
9. Disclaimers
9.1 The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. 9.2 AI-generated content may be inaccurate, incomplete, biased or inappropriate and does not constitute professional advice (legal, medical, financial, etc.). Verify before use and take responsibility for your use of results.
10. Limitation of Liability
To the maximum extent permitted by law: 10.1 We and our affiliates, employees and suppliers are not liable for any indirect, incidental, special, punitive or consequential damages (including loss of profits, data or goodwill); 10.2 Our total aggregate liability under these Terms will not exceed the total fees you actually paid us for the Service in the twelve (12) months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold us and our affiliates harmless from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms, violation of law, or infringement of third-party rights.
12. Term and Termination
12.1 These Terms take effect upon your acceptance and continue until your account is closed or the agreement is terminated. 12.2 You may stop using the Service and request account deletion at any time. We may suspend or terminate your access where you breach these Terms or where legal or security risks exist. 12.3 Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (e.g. intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution) survive termination. Processing and deletion of account data follow the Privacy Policy and applicable law.
13. Changes
We may revise these Terms from time to time. Material changes will be communicated by reasonable means (in-service notice, email, or updating the effective date here). Your continued use after changes take effect constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Disputes arising from these Terms shall first be resolved through good-faith negotiation; failing that, submitted to the state or federal courts located in Wyoming, United States.
15. Miscellaneous
15.1 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. 15.2 No waiver. Our failure or delay in exercising any right is not a waiver of that right. 15.3 Entire agreement. These Terms, together with the Privacy Policy and related business rules, constitute the entire agreement regarding the Service. 15.4 Language. Multiple language versions may be provided; in case of inconsistency, the English version prevails.
